Terms & Conditions – Buyers and Vendors (Bibliowlteca)

These Terms & Conditions ("Terms") form a binding agreement between (i) EasyFy Solution OÜ, an Estonian company (company number 17222348) operating the Bibliowlteca service (the "Platform", "Bibliowlteca", "we", "us"), and (ii) any person or entity accessing or using the Platform, including Buyers and Vendors (each a "User", "you").

By creating an account, listing a product, purchasing a product, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to that entity.

1) The Service

Bibliowlteca is a digital education and content distribution platform that enables Vendors to make available digital products ("Digital Products") such as PDFs, videos, images, courses, and educational materials to Buyers.

Bibliowlteca provides a technological platform for the distribution of Digital Products but does not provide professional advice (legal, financial, medical, or otherwise) and does not guarantee any specific outcomes from the use of Digital Products.

2) Merchant of Record, Payment Processing and Billing Descriptor (Important)

EasyFy Solution OÜ, operating the Bibliowlteca platform, acts as the merchant of record and supplier of record for transactions processed through the Platform.

Payments on Bibliowlteca are processed by EasyFy Solution OÜ and/or its authorized payment service providers. As a result, a Buyer's bank, card, or payment statement may display a charge descriptor referencing EasyFy (and not "Bibliowlteca").

By placing an order, the Buyer authorizes EasyFy Solution OÜ (or its payment partners) to process the payment, complete the transaction, and deliver access to the Digital Product.

3) Eligibility and Accounts

You must be at least 18 years old (or have legal capacity under applicable law) to use the Platform.

Users agree to:

  • provide accurate, complete, and up-to-date registration and account information;
  • keep account credentials confidential;
  • remain fully responsible for all actions taken through their account.

Bibliowlteca may suspend or terminate accounts that violate these Terms or pose legal, compliance, fraud, or security risks.

4) Buyers – Orders, Delivery, and Access

4.1 Digital Delivery

Digital Products are delivered electronically (for example, via download, streaming access, or access to a restricted member area) after successful payment.

4.2 Access Responsibility

Buyers are responsible for ensuring they can access the Digital Product, including having compatible devices, software, and internet access. If access problems occur, Buyers should contact support via the Help pages.

Access to a Digital Product is deemed delivered once it is made available in the Buyer's account or via the access link provided.

Purchase confirmations and receipts are issued electronically by Bibliowlteca.

5) Refund Policy (Final Unless Required by Law)

Due to the digital nature of Digital Products, all sales are final, unless a refund is required by applicable law or explicitly offered on the relevant product page.

Where mandatory consumer protection laws apply (including, for example, EU/EEA consumer rights), those rights are not limited by these Terms.

Bibliowlteca may, at its discretion, grant refunds in exceptional circumstances, but is not obligated to do so unless required by law.

6) Vendors – Listing, Compliance, and Responsibilities

6.1 Vendor Onboarding

To sell Digital Products, Vendors must create an account and provide all information required for onboarding, compliance, and payment processing. Bibliowlteca may approve or reject Vendor access at its discretion.

6.2 Vendor Representations and Warranties

Vendors represent and warrant that:

  • they have full authority to enter into these Terms;
  • their Digital Products and marketing comply with all applicable laws and consumer protection rules, including those applicable in the Buyer's country where relevant;
  • they own or hold valid rights and licenses for all content, materials, and intellectual property used;
  • they will not make deceptive, misleading, or unsubstantiated claims, including earnings guarantees or guaranteed results;
  • their Digital Products do not infringe third-party rights and do not contain unlawful content.

Vendors acknowledge that Digital Products are sold to Buyers by Bibliowlteca as merchant of record, and that Vendors supply content to the Platform and grant the rights necessary for Bibliowlteca to distribute such content to Buyers under these Terms.

6.3 Delivery and Support

Vendors must ensure that Digital Products are delivered as described on the product page and must provide any support they expressly promise.

6.4 Prohibited Content

Vendors may not list or distribute content that is illegal, fraudulent, infringing, hateful, discriminatory, or otherwise harmful. Bibliowlteca may remove products or restrict accounts to protect Buyers, payment partners, and Platform integrity.

6A) Taxes and VAT

For sales of Digital Products, EasyFy Solution OÜ, operating the Bibliowlteca platform, acts as the supplier and merchant of record for tax purposes.

For Buyers located in the European Union purchasing as consumers (B2C), Value Added Tax (VAT) will be charged in accordance with applicable EU VAT rules, based on the Buyer's country of residence, and collected under the EU One Stop Shop (OSS) regime where applicable. Any applicable VAT will be displayed before the purchase is completed.

For Buyers located outside the European Union, including Brazil, no EU VAT is charged.

For business Buyers located in the European Union, a valid VAT identification number must be provided and successfully verified in order for the reverse charge mechanism to apply. If a VAT ID is not provided or cannot be validated, the transaction will be treated as a consumer (B2C) sale and VAT will be charged accordingly.

Vendors acknowledge and agree that amounts paid to them by Bibliowlteca are net of any VAT collected from Buyers. Vendors remain solely responsible for their own income taxes, corporate taxes, and any other taxes applicable to their business activities.

7) Fees, Payouts, Rolling Reserve, and Withholdings

7.1 Platform Fees and Payment Costs

Vendor payouts may be subject to platform fees and third-party processing fees, as displayed within the Vendor's account or dashboard.

7.2 Rolling Reserve (Cards)

To manage chargeback and dispute risk, a rolling reserve may be applied to card-based transactions. The current reserve policy for eligible card-based payments is 10% held for 30 days ("Rolling Reserve"), subject to change where required by payment partners, risk conditions, or compliance needs.

7.3 Payout Timing and Methods

Payout timing and availability vary by payment method, banking rails, dispute windows, and operational processing. Applicable payout rules are made available within the Vendor's withdrawal or payout section and form part of the operational rules of the Platform.

7.4 Set-off and Withholding

Bibliowlteca may withhold, delay, or adjust payouts where reasonably necessary to:

  • cover refunds, chargebacks, disputes, reversals, penalties, or processing fees;
  • comply with legal, regulatory, or payment partner requirements;
  • investigate suspected fraud or violations of these Terms;
  • address abnormal refund or chargeback rates.

Amounts owed by a Vendor may be set off against future payouts.

8) Chargebacks, Disputes, and Returns

If a Buyer initiates a dispute, chargeback, or payment reversal:

  • access to the Digital Product may be suspended pending resolution;
  • related payout amounts may be withheld or reversed;
  • Vendors may be required to provide information or evidence to support dispute handling.

Buyers acknowledge that initiating a chargeback without first contacting support may result in account restrictions.

Repeated or excessive disputes may result in product removal, payout delays, higher reserves, or account restrictions.

9) Intellectual Property

9.1 Platform IP

The Platform, including its software, design, trademarks, and branding, is owned by EasyFy Solution OÜ or its licensors. No rights are granted except as necessary to use the Platform under these Terms.

9.2 Buyer License

Buyers receive a limited, non-exclusive, non-transferable license to access and use purchased Digital Products for personal use only, unless explicitly stated otherwise. Redistribution, resale, or sharing is prohibited.

9.3 Vendor License to the Platform

Vendors grant Bibliowlteca and EasyFy Solution OÜ a non-exclusive, worldwide license to host, display, distribute, and market Digital Products and related promotional materials for the purpose of operating the Platform.

10) Privacy and Data Protection

Personal data is processed in accordance with the Privacy Policy. By using the Platform, Users acknowledge and agree to such processing.

11) Disclaimers

The Platform and Digital Products are provided on an "as is" and "as available" basis, to the maximum extent permitted by law.

Bibliowlteca does not guarantee uninterrupted or error-free access, the accuracy or completeness of Vendor-provided content, or that Digital Products will meet specific expectations.

Bibliowlteca does not guarantee financial results, earnings, or business outcomes from the use of any Digital Product.

Vendors are solely responsible for their Digital Products and any claims made about them.

12) Limitation of Liability

To the maximum extent permitted by law:

  • Bibliowlteca and EasyFy Solution OÜ are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data;
  • total liability arising from a transaction shall not exceed the amount paid by the Buyer for that transaction, except where liability cannot be limited by law.

13) Indemnification

Vendors agree to indemnify and hold harmless Bibliowlteca and EasyFy Solution OÜ from claims, losses, liabilities, penalties, and expenses (including reasonable legal fees) arising from:

  • their Digital Products, content, or marketing claims;
  • infringement of third-party rights;
  • breaches of these Terms or applicable law.

14) Changes to the Terms

Bibliowlteca may update these Terms from time to time. The most recent version will be published on the Platform. Continued use constitutes acceptance of the updated Terms.

15) Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia, without prejudice to mandatory consumer protection laws applicable in the Buyer's country of residence.

Disputes should first be addressed by contacting [email protected]. If unresolved, disputes may be brought before the competent courts of Estonia, unless mandatory consumer rules provide otherwise.
